MyPetPal Terms & Conditions

Definitions

In these Terms:

"Advertiser" means any individual user or business promoting products, services, or content via advertisements, listings, or promotional placements on the Platform;

"Booking" means a confirmed service arrangement between a Service Provider and a Pet Owner made through the Platform;

"Connected Account" means a payment account provided via the PSPs or MyPetPal.

"MyPetPal", "we", "us", "our" means My Pet Pal Ltd;

"Payment Service Providers" or "PSPs" shall mean…….

"Pet Owner" means any user who owns a pet and is seeking to book and pay for pet care services as well as purchase pet care products from Vendors operating on the Platform;

"Platform" means the MyPetPal website (https://my-petpal.com) and any associated applications operated by My Pet Pal Ltd;

"Service Provider" means any individual or business offering pet care or veterinary services;

"Terms" means….

"User or Users" means any individual or business account profile associated to Pet Owners, Service Providers, Advertisers and Vendors;

"Vendor" means any individual or business user offering goods for sale via the Platform.

About the Platform

MyPetPal operates as an online technology platform and marketplace connecting Pet Owners, Service Providers, Vendors, and Advertisers. MyPetPal acts solely as a technology platform and intermediary facilitating bookings, product sales, advertisements and payment processing between Users. MyPetPal does not: provide pet care services; provide veterinary services; supervise or control Service Providers or Vendors; or guarantee the outcome of any services or transactions.

Acceptance of Terms

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

Eligibility

Users shall be at least 18 years of age. Users confirm that they have the legal capacity to enter into binding contracts under the laws of England and Wales.

User Account Profiles

Users shall provide accurate, complete, and up-to-date information. Users shall be responsible for maintaining the confidentiality and security of their account profile credentials. MyPetPal may, at its sole discretion, suspend or terminate account profiles where misuse, fraud, or breach of these Terms is suspected.

Nature of Agreements

A Booking creates a legally binding agreement between the Pet Owner and the Service Provider. MyPetPal is not a party to any agreement between Users.

Service Providers

Service Providers act as independent contractors. The Service Provider shall be solely responsible for: the services provided; compliance with applicable laws; and maintaining appropriate licences and insurance.

Veterinary Services

Veterinary services are provided solely by independent professionals. MyPetPal shall have no liability for any clinical decisions, treatment outcomes, or veterinary advice.

Vendor Services

Vendors shall be solely responsible for all products listed and sold via the Platform. Vendors shall comply with all applicable laws, including the Consumer Rights Act 2015.

Advertisers

Advertisers may promote products, services, or content via the Platform. The Advertiser shall be solely responsible for: the accuracy of advertising content; and compliance with applicable laws and regulations. Advertisements shall be: truthful; not misleading or deceptive; and compliant with consumer protection laws. Advertisers shall not publish content that: is false or misleading; promotes unlawful activity; infringes intellectual property rights; or is harmful, offensive, or inappropriate. MyPetPal may, at its sole discretion: approve or reject advertisements; remove content; and suspend or terminate Advertiser account profiles. MyPetPal does not endorse or guarantee any advertised products or services.

Payments and Connected Accounts

Payments shall be processed via third-party PSPs including Stripe. Users shall maintain valid Connected Accounts where required. MyPetPal may operate using the platform or marketplace business models made available to MyPetPal by the PSPs.

Platform Fees

MyPetPal may charge platform usage fees via:

  • subscriptions;
  • payment transaction; and
  • commissions.
  • All applicable fees shall be disclosed to Users via the Platform.

Mandatory Platform Transactions

All Bookings shall be conducted and recorded through the Platform. This requirement applies to all payment methods, including cash.

Non-Circumvention

Users shall not enter into off-platform arrangements for services introduced via the Platform. This restriction applies for a period of 24 months from initial contact. MyPetPal may: recover any fees avoided; and take enforcement action.

Refunds

Service Providers shall determine their own refund policies. The PSP or MyPetPal may, at its sole discretion, issue refunds where required by law or payment processor rules. Refunds may be recovered from the Service Provider.

Chargebacks

Service Providers shall be financially responsible for all chargebacks relating to their services. The PSP or MyPetPal may recover: disputed amounts; fees; and associated costs.

Negative Balances

Users shall repay any negative balance arising on their account.

Payouts

Payouts shall be made via the PSP's Connected Accounts. The PSP or MyPetPal may, at its sole discretion, delay or withhold payouts where reasonably necessary.

Payment Reserves

MyPetPal may hold reserves to manage financial risk.

Reviews and Ratings

Users may submit reviews reflecting genuine experiences. MyPetPal may, at its sole discretion, moderate or remove content.

Acceptable Use

Users shall comply with the Acceptable Use Policy.

Pet Owner Responsibilities

Pet Owners shall provide accurate and complete information regarding their pets.

Emergency Veterinary Care

Service Providers may obtain emergency veterinary care where necessary. The Pet Owner shall be responsible for all associated costs.

Limitation of Liability

MyPetPal's total liability shall be limited to the greater of:

  • the fees paid in the preceding 12 months; or
  • £2,500.
  • MyPetPal shall have no liability for:
  • services provided by Service Providers;
  • veterinary decisions; or
  • indirect or consequential losses.
  • Nothing in these Terms shall exclude liability for:
  • death or personal injury caused by negligence; or
  • fraud.

MyPetPal Protection Programme

MyPetPal may, at its sole discretion, provide limited financial support under the MyPetPal Protection Programme. The Programme: is not insurance; does not create any contractual entitlement; and is provided on a discretionary goodwill basis. The Programme applies only to Bookings made through the Platform. The Service Provider's insurance shall be the primary source of recovery. The Programme does not increase MyPetPal's liability.

Insurance

Service Providers shall maintain appropriate insurance at all times. MyPetPal does not provide insurance coverage.

Verification

MyPetPal may carry out verification checks. Verification does not guarantee reliability or suitability.

Suspension and Termination

MyPetPal may, at its sole discretion, suspend or terminate account profiles.

Intellectual Property

All Platform content remains the property of MyPetPal.

Data Protection

Personal data shall be processed in accordance with the Privacy Policy.

Entire Agreement

These Terms constitute the entire agreement between the parties and supersede all prior agreements, understandings, or arrangements.

Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Waiver

Failure to enforce any provision shall not constitute a waiver of that provision or any other rights.

Changes to Terms

MyPetPal may update these Terms from time to time.

Governing Law

These Terms shall be governed by the laws of England and Wales.

No Agency

Nothing in these Terms shall create any agency, partnership, employment, or joint venture relationship between MyPetPal and any User.

Interpretation

In the event of any inconsistency between these Terms and any other document, these Terms shall prevail unless expressly stated otherwise.

MyPetPal Pet Care Booking & Service Provider Agreement

Parties

This Agreement is entered into between:

  • the Pet Owner; and
  • the Service Provider,
  • (each a "Party" and together the "Parties").
  • This Agreement is formed when a Booking is confirmed through the Platform.
  • MyPetPal is not a party to this Agreement and acts solely as a technology platform and intermediary facilitating connections and payment processing between Users.

Scope of Services

The Service Provider shall provide pet care services as described in the Booking. Services may include, without limitation: pet sitting; pet walking; pet boarding; pet grooming; training; and veterinary care. The Service Provider shall perform services with reasonable care and skill.

Independent Contractor Status

The Service Provider acts as an independent contractor. Nothing in this Agreement shall create: employment; partnership; agency; or joint venture.

Pet Owner Responsibilities

The Pet Owner shall provide accurate, complete, and up-to-date information regarding the pet, including but not limited to: medical conditions; medications; vaccination status; behavioural traits; and any history of aggression. The Pet Owner warrants that: all material information has been disclosed; and the pet is safe to handle unless otherwise disclosed. The Pet Owner shall remain responsible for the pet at all times.

Service Provider Responsibilities

The Service Provider shall:

  • provide services with reasonable care and skill;
  • comply with all applicable laws and regulations;
  • maintain appropriate licences and insurance; and
  • follow reasonable instructions provided by the Pet Owner.

Health and Behaviour Disclosure

The Pet Owner shall disclose any known:

  • illnesses;
  • medical conditions;
  • behavioural issues; and
  • risks associated with the pet.
  • Failure to disclose material information may result in:
  • termination of services;
  • additional charges; and
  • liability for injury or damages.

Emergency Veterinary Care

If the pet becomes ill or injured and the Pet Owner cannot be contacted, the Service Provider may, acting reasonably: obtain veterinary treatment; and take any action necessary in the best interests of the pet. The Pet Owner authorises the Service Provider to: instruct veterinary professionals; and consent to necessary treatment. The Pet Owner shall be solely responsible for all veterinary costs and associated expenses.

Payments

All payments shall be made through the Platform. Payments are processed via third-party PSPs. The Pet Owner shall pay: all agreed fees; and any additional agreed charges.

Cancellations and Refunds

Cancellation terms shall be determined by the Service Provider. Such terms shall be displayed on the Service Provider's account profile. The Pet Owner agrees to be bound by the applicable cancellation policy.

Access to Property

Where services are provided at the Pet Owner's premises, the Pet Owner shall:

  • provide safe access; and
  • provide necessary instructions.
  • The Service Provider shall:
  • use access solely for service delivery; and
  • respect the Pet Owner's property.

Damage to Property

The Pet Owner shall be responsible for damage caused by their pet. The Service Provider shall be responsible for damage caused by their negligence.

Injury to Persons or Animals

The Pet Owner acknowledges that animals may behave unpredictably. The Pet Owner shall be responsible for injuries caused by their pet, except where such injury arises from the negligence of the Service Provider.

Insurance

The Service Provider shall maintain appropriate insurance. The Pet Owner shall ensure appropriate pet-related insurance where applicable. MyPetPal does not provide insurance coverage.

Liability Between the Parties

The Service Provider shall be solely responsible for:

  • the services provided; and
  • any negligent acts or omissions.
  • The Pet Owner shall be responsible for:
  • the pet's behaviour; and
  • any undisclosed risks.

Indemnity

The Pet Owner shall indemnify and hold harmless the Service Provider against any claims arising from: undisclosed behavioural issues; or inaccurate or incomplete information. The Service Provider shall indemnify and hold harmless the Pet Owner against any claims arising from: negligent service provision; or breach of this Agreement.

Disputes Between Users

Any dispute arising from a Booking shall be between the Parties. The Parties shall use reasonable endeavours to resolve disputes directly. MyPetPal may, at its sole discretion, facilitate communication or resolution but shall have no responsibility for the outcome of any dispute.

Platform Role

MyPetPal acts solely as a technology platform and intermediary facilitating bookings, product sales, advertisements and payments between users. MyPetPal does not: Supervise services; guarantee outcomes; or assume responsibility for service delivery.

MyPetPal Protection Programme

MyPetPal may, at its sole discretion, provide limited financial support under the MyPetPal Protection Programme. The Programme: is not insurance; does not create any contractual entitlement; and is discretionary only. The Service Provider's insurance shall be the primary source of recovery. The Programme operates only on a secondary and discretionary basis.

Limitation of Liability

MyPetPal shall have no liability for:

  • services provided by Service Providers;
  • injury, illness, or death of pets; or
  • disputes between users.
  • Nothing in this Agreement shall increase or extend MyPetPal's liability beyond that set out in MyPetPal's Terms & Conditions.

Force Majeure

Neither Party shall be liable for any failure or delay in performance arising from circumstances beyond their reasonable control.

Entire Agreement

This Agreement constitutes the entire agreement between the Parties and supersedes all prior discussions or agreements.

Severability

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Waiver

Failure to enforce any provision shall not constitute a waiver of any rights.

Governing Law

This Agreement shall be governed by the laws of England and Wales.

My Pet Pal Ltd Product Seller Terms and Conditions

MyPetPal Vendor Marketplace Agreement

Parties

  • This Agreement is entered into between:
  • My Pet Pal Ltd ("MyPetPal"); and
  • the Vendor.
  • This Agreement governs the Vendor's use of the Platform to sell products.

Acceptance

  • By registering as a Vendor, the Vendor agrees to be bound by this Agreement.
  • If the Vendor does not agree, it must not use the Platform.

Independent Seller Status

  • The Vendor operates as an independent seller.
  • Nothing in this Agreement shall create:
  • employment;
  • partnership;
  • agency; or
  • joint venture.
  • The Vendor shall have no authority to bind MyPetPal.

Platform Role

  • MyPetPal acts solely as a technology platform and intermediary facilitating product sales, invoicing and payment processing between Users.
  • MyPetPal does not sell products and shall have no responsibility for:
  • product quality;
  • product safety; or
  • fulfilment of orders.

Eligibility and Onboarding

  • The Vendor shall:
  • be at least 18 years of age;
  • provide accurate and complete business information; and
  • complete all onboarding requirements.
  • The Vendor agrees to:
  • authorise the Platform to generate invoices to customers on the Vendor's behalf
  • complete payment onboarding via Stripe; and
  • provide identity and business verification documentation as reasonably requested.

Listings and Product Information

  • The Vendor shall be solely responsible for:
  • the accuracy of product descriptions;
  • images and specifications;
  • pricing; and
  • delivery fees.
  • The Vendor shall ensure that listings are not misleading, deceptive, or unlawful.

Product Compliance

  • The Vendor shall ensure that all products:
  • comply with applicable laws and regulations;
  • meet relevant safety standards; and
  • are fit for purpose.
  • The Vendor shall comply with all applicable consumer protection legislation, including the Consumer Rights Act 2015.

Orders and Fulfilment

  • The Vendor shall be solely responsible for:
  • accepting orders;
  • fulfilment and delivery; and
  • handling customer enquiries.
  • The Vendor shall fulfil orders within the timeframes stated in its listings.

Returns and Refunds

  • The Vendor shall:
  • provide a clear and compliant returns policy; and
  • comply with statutory consumer rights.
  • The Vendor shall be responsible for:
  • processing returns; and
  • issuing refunds where required.
  • MyPetPal may, at its sole discretion, issue refunds and recover such amounts from the Vendor.

Payments and Fees

  • Payments shall be processed via the integrated PSPs.
  • The Vendor shall maintain a valid account with the PSP.
  • MyPetPal may charge platform usage fees via:
  • Subscriptions;
  • Payment transactions; and
  • Commissions.

Payouts

  • Payouts shall be made via Connected Accounts.
  • The PSP or MyPetPal may, at its sole discretion:
  • delay payouts;
  • hold reserves; or
  • withhold funds.

Chargebacks

  • The Vendor shall be financially responsible for all chargebacks relating to products sold.
  • The Vendor shall:
  • provide evidence; and
  • cooperate fully in disputes.
  • The PSP or MyPetPal may recover:
  • disputed amounts;
  • fees; and
  • administrative costs.

Negative Balances

  • The Vendor shall repay any negative balance.
  • The PSP or MyPetPal may recover such amounts from future payouts.

Non-Circumvention

  • The Vendor shall not:
  • sell to customers introduced via the Platform outside the Platform; or
  • attempt to bypass Platform fees.
  • This restriction applies for a period of 24 months from initial contact.

Product Liability

  • The Vendor shall be solely responsible for:
  • product safety;
  • product defects; and
  • regulatory compliance.
  • The Vendor shall indemnify and hold harmless MyPetPal against any claims arising from:
  • defective products;
  • product-related injury; or
  • regulatory breaches.

Insurance

  • The Vendor shall maintain appropriate insurance where required.
  • MyPetPal does not provide insurance.

MyPetPal Protection Programme

  • The Vendor acknowledges that the MyPetPal Protection Programme applies primarily to service-based bookings.
  • The Vendor shall cooperate with MyPetPal in any claim investigation where relevant.

Reviews and Ratings

  • The Vendor shall not manipulate reviews or ratings.

Suspension and Termination

  • MyPetPal may, at its sole discretion, suspend or terminate Vendor account profile for:
  • breach of this Agreement;
  • excessive complaints; or
  • legal, regulatory or reputational risk.

Intellectual Property

  • The Vendor grants MyPetPal a non-exclusive licence to use content for Platform purposes.

Data Protection

  • The Vendor shall comply with applicable data protection laws.

Limitation of Liability

  • Nothing in this Agreement shall increase or extend MyPetPal's liability beyond that set out in MyPetPal's Terms & Conditions.

Entire Agreement

  • This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings.

Severability

  • If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Waiver

  • Failure to enforce any provision shall not constitute a waiver of any rights.

Changes to Agreement

  • MyPetPal may update this Agreement from time to time.

Governing Law

  • This Agreement shall be governed by the laws of England and Wales.

MyPetPal Advertiser Terms & Conditions

Parties

This Agreement is entered into between:

  • My Pet Pal Ltd ("MyPetPal"); and
  • the Advertiser.
  • This Agreement governs the Advertiser's use of the Platform to promote products, services, or content.

Acceptance

By placing or publishing any advertisement on the Platform, the Advertiser agrees to be bound by this Agreement. If the Advertiser does not agree, it must not use the Platform for advertising purposes.

Independent Status

The Advertiser operates as an independent entity. Nothing in this Agreement shall create: employment; partnership; agency; or joint venture. The Advertiser shall have no authority to bind MyPetPal.

Platform Role

MyPetPal acts solely as a technology platform and intermediary facilitating connections and payment processing between users. MyPetPal does not: endorse any advertisement; verify any advertisement; or guarantee any product or service promoted.

Advertising Services

MyPetPal may provide advertising services including, without limitation:

  • featured listings;
  • sponsored placements;
  • promoted profiles; and
  • display advertising.
  • Advertising services may be:
  • paid; or
  • provided at MyPetPal's sole discretion.

Advertiser Responsibilities

The Advertiser shall be solely responsible for:

  • all advertising content;
  • the accuracy of all claims; and
  • compliance with applicable laws.
  • The Advertiser shall ensure that all advertisements are:
  • truthful;
  • not misleading or deceptive; and
  • compliant with consumer protection laws.

Compliance with Law

The Advertiser shall comply with all applicable laws, regulations, and industry standards. Where applicable, the Advertiser shall comply with the Consumer Rights Act 2015 and all relevant advertising regulations.

Prohibited Advertising Content

The Advertiser shall not publish content that:

  • is false, misleading, or deceptive;
  • promotes illegal activity;
  • infringes intellectual property rights;
  • is harmful, offensive, or inappropriate; or
  • misrepresents qualifications, services, or products.

Approval and Moderation

MyPetPal may, at its sole discretion:

  • review and approve advertisements prior to publication;
  • refuse any advertisement;
  • remove any advertisement; or
  • suspend or terminate advertising content.
  • MyPetPal may take such action where content:
  • breaches this Agreement; or
  • creates legal, regulatory, or reputational risk.

No Endorsement

MyPetPal does not endorse, guarantee, or verify:

  • any advertised product or service; or
  • any claims made by Advertisers.
  • Users acknowledge that reliance on advertisements is at their own risk.

Advertising Fees

Advertising services may be subject to fees. Fees shall be: agreed in advance; or displayed on the Platform. Fees shall be non-refundable unless otherwise agreed in writing.

Payments

Payments shall be made through the Platform using integrated payment systems, including Stripe where applicable. MyPetPal may suspend advertising services where payment is not received.

Duration and Termination

Advertisements shall run for the agreed duration or until removed. MyPetPal may, at its sole discretion, suspend or terminate advertising: for breach of this Agreement; or where required for legal or regulatory reasons.

Intellectual Property

The Advertiser grants MyPetPal a non-exclusive, royalty-free licence to use advertising content for: display on the Platform; and promotional purposes. The Advertiser warrants that it has the necessary rights to use all submitted content.

Indemnity

The Advertiser shall indemnify and hold harmless MyPetPal against any and all claims, liabilities, damages, losses, and expenses arising from or in connection with: advertising content; misleading or deceptive claims; regulatory breaches; or intellectual property infringement.

Limitation of Liability

MyPetPal shall have no liability for:

  • the performance or effectiveness of advertisements;
  • loss of business, revenue, or opportunity; or
  • indirect or consequential losses.
  • Nothing in this Agreement shall increase or extend MyPetPal's liability beyond that set out in the MyPetPal Terms & Conditions.

Suspension and Enforcement

MyPetPal may, at its sole discretion:

  • remove advertisements;
  • suspend accounts; or
  • restrict access to advertising services.

Relationship with Other Documents

This Agreement shall be read alongside:

  • the Terms & Conditions;
  • the Acceptable Use Policy; and
  • the Trust & Safety Policy.

Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings.

Severability

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Waiver

Failure to enforce any provision shall not constitute a waiver of any rights.

Changes to Terms

MyPetPal may update these Terms at any time.

Governing Law

This Agreement shall be governed by the laws of England and Wales.

MyPetPal Protection Policy

Introduction

This Protection Policy sets out the terms of the MyPetPal Protection Programme ("Protection Programme"). The Protection Programme is a discretionary goodwill initiative offered by My Pet Pal Ltd ("MyPetPal"). This Policy shall be read in conjunction with the MyPetPal Terms & Conditions.

Nature of the Protection Programme

The Protection Programme:

  • is not an insurance product;
  • does not constitute a contractual entitlement; and
  • is provided at MyPetPal's sole discretion.
  • Nothing in this Policy shall create any legal obligation on MyPetPal to provide compensation.

Eligibility

Protection may apply only where:

  • a Booking was made through the Platform;
  • payment was processed through the Platform; and
  • all parties complied with applicable Terms and policies.
  • Protection shall not apply to:
  • off-platform arrangements;
  • payments made outside the Platform; or
  • users in breach of Platform rules.

Scope of Protection

MyPetPal may, at its sole discretion, provide limited financial support under the Protection Programme. Support may include, without limitation: veterinary costs arising from injury; property damage caused during a Booking; or partial refunds in cases of service failure. Any financial support shall be subject to a maximum cap per Booking, as determined by MyPetPal from time to time.

Exclusions

Protection shall not apply to:

  • pre-existing medical conditions;
  • illness not attributable to the Service Provider;
  • undisclosed behavioural issues;
  • normal wear and tear;
  • cosmetic damage;
  • loss of profit or indirect losses;
  • veterinary malpractice;
  • acts of third parties; or
  • events beyond reasonable control.

Insurance Hierarchy

The Service Provider's insurance shall be the primary source of recovery in respect of any claim. The Protection Programme shall operate only on a secondary and discretionary basis. Protection may be considered only where: insurance is unavailable; a claim is rejected; or losses remain after insurance settlement.

Claims Process

Claims must be submitted within a reasonable timeframe following the incident. Claimants shall provide: full details of the incident; supporting evidence; and proof of Booking through the Platform. MyPetPal may request additional information where necessary.

Investigation and Decision

MyPetPal may, at its sole discretion:

  • investigate claims;
  • request information from relevant parties; or
  • consult third parties.
  • All decisions made by MyPetPal shall be final.

Payment of Support

Where MyPetPal elects to provide financial support, it may:

  • reimburse the claimant directly; or
  • make payment to a third party.
  • Payments shall not exceed the applicable cap.

Recovery Rights

MyPetPal reserves the right to recover any amounts paid under the Protection Programme from: the Service Provider; the Vendor; or future earnings or payouts.

No Impact on Liability

The Protection Programme operates independently of the limitation of liability set out in the MyPetPal Terms & Conditions. Nothing in this Policy shall: increase MyPetPal's liability; or override any limitation of liability.

Discretion

MyPetPal reserves the right, at its sole discretion, to:

  • determine eligibility;
  • approve or reject claims; or
  • withdraw or amend support.

Changes to the Programme

MyPetPal may amend, suspend, or withdraw the Protection Programme at any time.

Governing Law

This Policy shall be governed by the laws of England and Wales.

MyPetPal Acceptable Use Policy

Introduction

This Policy applies to all users.

General Obligations

Users shall use the Platform lawfully and responsibly.

Prohibited Conduct

Users shall not:

  • engage in illegal activities;
  • commit fraud;
  • bypass Platform payments;
  • harass users;
  • breach animal welfare laws;
  • misuse the Platform;
  • publish unlawful content; or
  • publish misleading advertising content.

Content
